K2MATCH members who need a U.S. company can set up a Wyoming or Florida LLC through a guided process built for international founders and foreign companies.
US LLC Light handles the formation filing, prepares the EIN application and operating agreement, and keeps your documents, deadlines, and next steps in one dashboard.
The service is designed for single-member LLCs owned by a single non-U.S. individual or an eligible foreign company that operates primarily outside the U.S. A short precheck confirms whether your setup meets the requirements before checkout.

A guided U.S. LLC foundation, with the first year organized
A U.S. client is ready to put a company on the contract. A platform or marketplace wants a business behind the account. Or a pilot has become real enough to need its own contracts, records, and expenses.
The opportunity is welcome. The U.S. administration that comes with it usually is not.
US LLC Light prepares and files a Wyoming or Florida LLC, prepares Form SS-4 for your review and signature, submits the EIN application to the IRS, and generates the operating agreement for your review and confirmation.
We also keep the formation record, documents, deadlines, and following steps together in one dashboard. The first year of established compliance support is included in the formation fee.
As of publication, state filings usually take a few business days after submission. For non-resident applicants, the estimated EIN timeline is 1–4 weeks, and the full setup typically takes 2–4 weeks.
These are planning estimates. The state controls formation acceptance, and the IRS controls the timing and issuance of EINs.
The IRS does not charge an application fee for an EIN. The US LLC Light package price covers the guided setup, preparation, coordination, documents, and support described here.
The annual work is part of the setup decision
Formation is only the beginning. A foreign-owned U.S. LLC can also have important annual filing obligations.
A late or missing filing of Form 5472 carries a penalty starting at $25,000 under the IRS Instructions for Form 5472 .
We track the deadline and prepare the supporting Form 5472 and pro forma 1120 workflow using the information you provide. If your circumstances require specialist tax judgment, we flag that early and recommend a qualified CPA.
State obligations matter too. A missed annual report or registered agent obligation can lead to forfeiture of the company’s articles in Wyoming or to administrative dissolution in Florida.
We add the annual report and registered-agent renewal to the first-year calendar and let you know when something requires your input. These obligations are part of running the company, so they are built into the workflow from the start.
The LLC creates a real legal separation
An LLC is a separate legal person. Its contracts, debts, and business obligations belong to the company.
Under Wyoming law and Florida law, a member is generally not personally liable for the company’s obligations solely because they are the member.
That separation has limits and depends on the LLC being operated as a real, separate company. Personal guarantees, your own conduct, and how a court outside the U.S. may treat a U.S. entity in a particular dispute require qualified legal advice.
US LLC Light is a private service operated by Light Founder Systems LLC. It is not a government agency and is not affiliated with the IRS.
Common reasons to form a U.S. LLC
A U.S. LLC may be useful when you want to:
Put a company behind your international business
Contract with clients, invoice through a company, or meet a platform’s business-account requirements.Create a wholly owned U.S. subsidiary
Give your foreign company a U.S. entity for contracting, a pilot, or a defined commercial activity.Give a market or product test its own entity
Keep the pilot’s contracts, expenses, and records separate from your existing business.Separate a project or business line
Run an ongoing service, product, or contracting stream through its own company.
If the setup involves more complex ownership, tax, or legal structuring, it should be reviewed by the appropriate specialist before formation.
What US LLC Light handles
The process has five parts: Fit, Form, Establish, Organize, and Prepare.
Fit happens before checkout. Once the setup passes the precheck, we take on the four service stages that follow.
Form the company
We check the proposed company name, coordinate with the registered agent, prepare the formation record, and file the articles of organization with the Wyoming or Florida Secretary of State.
After state acceptance, we record the filing details and add the stamped formation document to your account.
Establish the federal record
We generate the operating agreement from the supported counsel template for your review and confirmation.
We also prepare and review Form SS-4. You sign it once, and we submit the EIN application to the IRS and track the response.
You do not need to deal directly with the IRS during this EIN application process.
Organize what comes next
The dashboard keeps your company details, formation documents, operating agreement, EIN letter, progress, and next action in one place.
You can see what has been completed, what we are handling, and when something needs your input instead of rebuilding the company record from old emails.
Prepare the first year
We set up the first-year calendar and track the established annual-report, registered-agent, and supported information-return workflows.
When information, review, or a signature is needed, we tell you.
For the supported annual filing workflow, you complete a guided questionnaire and we prepare the work from your answers. More complex facts are routed for specialist review when necessary.
Who the service is built for
US LLC Light is designed for setups with:
- One non-U.S. individual or eligible foreign company as sole member
- A Wyoming or Florida single-member LLC
- Business operations primarily outside the U.S.
- Mostly non-U.S. customers, with some U.S. customers possible
- Services, SaaS, digital products, contracts, pilots, projects, or product lines
How the guided process works
Your part of the process is defined: answer the guided questions, provide the required documents, and review or sign at the relevant stages.
We prepare the filings and documents, submit the supported applications, track progress, and tell you when something needs your attention.
- Confirm fit before checkout. Complete the precheck for the proposed individual-owned or foreign-company-owned setup.
- Choose the setup. Select Wyoming or Florida, choose the package and address tier, complete checkout, and create your account.
- Provide identity and company details. Complete the identity check with your personal details, passport, and address proof. Add the proposed company name, one alternative, and a short description of the business. If a foreign company will own the LLC, you also provide the required company details and documents.
- We prepare and file. We check name availability, review the business activity, coordinate the registered agent, and file the articles with the state.
- Review the company record. After state acceptance, examine and approve the operating agreement. The signed agreement and stamped formation document then become part of the company record.
- Sign the EIN application once. We prepare and review Form SS-4. You e-sign it once, and we submit the application to the IRS and track the response.
- Start with the first year organized. Once the setup is complete, your dashboard contains the company document library and first-year compliance calendar.
Supporting K2Match members with U.S. LLC setup
K2Match helps founders connect with the right experts and partners as their businesses grow and new needs arise.
US LLC Light fits the point where the U.S. entity question is no longer hypothetical. A client needs a company on the contract. A pilot needs its own entity. A platform requires a business account. A foreign company needs a U.S. subsidiary for a defined commercial purpose.
The K2Match partnership gives members a direct route from that decision to a guided setup.
Frequently Asked Questions
Can a foreign company own the U.S. LLC?
Yes. One eligible non-U.S. company can be the sole member of a supported Wyoming or Florida LLC.
For this route, we collect the foreign company’s legal name, entity type, registry number, registered address, incorporation certificate, registry extract, and recent proof of address.
The precheck confirms whether the ownership structure fits before checkout.
Does US LLC Light support Delaware?
No. US LLC Light currently supports Wyoming and Florida formations.
If Delaware is a requirement, the standard service is not the right formation path.
What happens after the state forms the LLC?
After state acceptance, the formation record is added to your dashboard.
You then verify and approve the operating agreement and sign Form SS-4 once. We submit the EIN application to the IRS and track the response.
Does the service include an EIN?
Yes. We prepare Form SS-4 using the information you provide, review it, and send it to you for one e-signature.
We then submit the EIN application to the IRS and track the response. The IRS controls processing time and decides whether to issue the EIN.
What does the K2Match Partner Credit apply to?
The $50 K2Match Partner Credit applies to the US LLC Light service fee for the first eligible guided setup.
It does not reduce government or other third-party fees. The K2Match partner link carries the credit through the precheck and into checkout.
Does US LLC Light provide legal or tax advice?
No. Our role is guided company setup, organization, document workflow, and compliance preparation support described on this page.
When an issue needs legal, tax, or accounting judgment, we recommend review by the appropriate qualified specialist.
Does forming the LLC mean a bank or payment provider will approve an account?
No. An LLC and EIN can form part of the company record a bank, payment provider, or other institution reviews, but each institution sets its own eligibility requirements and makes its own approval decision.
Check the institution’s current requirements before applying.
